1. Acceptance of Terms

By downloading, installing, or using the ORANGE SL/CE mobile application (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). The App is developed and operated by Clear Echo Labs ("we," "our," or "us"), located in Texas, USA.

If you do not agree to these Terms, do not use the App. We reserve the right to modify these Terms at any time, and your continued use of the App following any changes constitutes acceptance of the revised Terms.

2. Description of Service

ORANGE SL/CE is a personal budgeting application that provides envelope-based budgeting aligned to your pay cycle. The App allows you to:

• Set up budgets based on your pay frequency and income
• Allocate funds into virtual envelopes for different spending categories
• Track expenses and recurring bills
• View your safe-to-spend balance and cash flow timeline

The App is a financial planning tool only. It does not provide financial, investment, tax, or legal advice. Any financial decisions you make based on information from the App are your sole responsibility.

3. Eligibility

You must be at least 13 years of age to use the App. If you are under 18, you must have parental or guardian consent. By using the App, you represent that you meet these requirements.

4. Account and Registration

Some features of the App may be available without registration. Premium features may require you to create an account and provide certain information. You agree to:

• Provide accurate and complete registration information
• Keep your account information current
• Maintain the security of your account credentials
• Accept responsibility for all activity under your account

5. Free and Premium Tiers

5.1 Free Starter Tier

The Free Starter tier provides access to core features including limited recurring bills, envelopes, unlimited expense tracking, Safe-to-Spend calculations, and Cash Flow timeline at no cost, with no expiration.

5.2 Premium Tiers

Premium tiers (Breathing Room, Getting Ahead, and Financial Freedom) are available via in-app purchases through the Apple App Store or Google Play Store. Pricing, features, and availability are as listed in the App and are subject to change.

5.3 Subscriptions

• Monthly and annual subscription options are available for applicable tiers
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Subscription management and cancellation are handled through the Apple App Store or Google Play Store
• Refunds are subject to the policies of the respective app store

5.4 Lifetime Pass

The Financial Freedom Lifetime Pass is a one-time purchase that provides permanent access to all current and future premium features. Availability is limited and subject to change. The Lifetime Pass is non-transferable.

6. User Responsibilities

When using the App, you agree to:

• Use the App only for lawful, personal budgeting purposes
• Not attempt to reverse-engineer, decompile, or disassemble the App
• Not use the App in any way that could damage, disable, or impair its functionality
• Not attempt to gain unauthorized access to any systems or networks connected to the App
• Not redistribute, sublicense, or commercially exploit the App

7. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points:

• Your core financial data is stored locally on your device
• We do not access, collect, or store your personal financial information on our servers
• You are responsible for backing up your device data
• Uninstalling the App will permanently delete your locally stored data

8. Intellectual Property

All content, features, functionality, design, graphics, trademarks, and intellectual property in the App are owned by Clear Echo Labs and are protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, or create derivative works based on the App or its content without our prior written consent.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the App will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of any calculations or information provided by the App

The App is a budgeting tool and not a substitute for professional financial advice. You should verify all financial calculations independently and consult a qualified financial professional for financial decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEAR ECHO LABS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, or business opportunities
• Any damages arising from your use or inability to use the App
• Any financial decisions made based on information from the App

Our total liability for any claim arising from or related to these Terms or the App shall not exceed the amount you paid to us in the 12 months preceding the claim, or $50, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Clear Echo Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the App at any time, with or without cause and with or without notice. Upon termination:

• Your right to use the App ceases immediately
• Locally stored data remains on your device until you delete the App
• Sections of these Terms that by their nature should survive will continue to apply

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the App shall be resolved exclusively in the courts of the State of Texas.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Clear Echo Labs regarding the use of the App and supersede all prior agreements and understandings.
